TERMS OF SERVICE

1. Introduction and Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you and House And Land Packages Pty Ltd (ABN 92 631 641 408) ("HALP", "we", "us", or "our"). By accessing or using any of our websites, platforms or services, you agree to be bound by these Terms.

For Advertisers (agents, builders and developers), these Terms also include the Listing Agreement, incorporated by reference. Where inconsistent, the Listing Agreement prevails on listing specifics.

These Terms apply to all HALP platforms, including www.halp.com.au, www.boutiquedevelopments.com.au, associated mobile applications and any related websites, features or services in our network.

By accessing or using our services you acknowledge that you have read and understood these Terms, agree to be bound by them and our Privacy Policy, represent that you are at least 18 years of age, and represent that you have authority to enter this agreement.

We reserve the right to modify these Terms at any time. When we make changes we will update the "Last Updated" date, notify registered users via email, prominently display material changes on our websites, and changes take effect immediately upon posting (or as otherwise specified).

2. Description of Services

HALP operates specialized property discovery and business directory platforms providing house and land package listings and searches; off-the-plan property information; new development project details; boutique and luxury property showcases; school zone integration and mapping; property calculators; mortgage broker connections; property market insights and guides; and professional business directory listings.

HALP is an information and advertising platform. We facilitate connections between property seekers and property providers, aggregate and display property and business information, and provide tools to assist your research. We are not a real estate agent, developer, builder or financial advisor.

Services are provided "as is" and "as available". We may modify, suspend or discontinue services at any time. Scheduled maintenance may cause temporary interruptions. Our services are delivered through Amazon Web Services (AWS) for hosting, backups on AWS, Google Workspace for business email, Stripe for payments, Pipedrive and ActiveCampaign for CRM, and Zapier for automation.

3. User Accounts and Registration

To access certain features you may need to create an account. You must provide accurate, current and complete information; maintain the confidentiality of your credentials; be at least 18 years of age; only create one account per person; and business accounts require a valid ABN/ACN.

You are responsible for all activities under your account, maintaining the security of your password, notifying us of unauthorized access, and ensuring no other person uses your account.

We may suspend or terminate your account if you breach these Terms, provide false information, use the account for fraudulent or illegal activities, fail to pay applicable fees, or the account remains inactive for an extended period. You may terminate at any time by contacting support@halp.com.au.

4. User Conduct and Prohibited Activities

You agree to comply with all applicable laws, use services only for lawful purposes, provide accurate information, respect intellectual property rights and act in good faith.

You must not misuse the platform (bots, scrapers, unauthorized automation, interference, reverse engineering, circumventing security), post harmful content (false, misleading, viruses, spam, phishing, impersonation), engage in illegal activities, abuse or harass other users, or misuse the platform commercially (unauthorized resale, competing, scraping listings, or creating multiple accounts to circumvent restrictions).

Violations may result in immediate account suspension or termination, content removal, legal action, reporting to law enforcement, or a permanent ban.

5. Property Listings and Information

Property listings and information are provided and owned by third parties (developers, builders, agents and data providers). HALP does not own or control third-party listings, verify all listing information, endorse any particular property or provider, or guarantee availability or pricing.

While we make reasonable efforts to ensure accuracy, property information may change without notice; prices, availability and specifications are subject to change; images may not reflect the final product; land sizes and dimensions are approximate; and school zone information is provided for reference only. Always verify critical information directly with the property provider.

School zone data is sourced from government databases and third-party providers, provided for general reference only, subject to change and not guaranteed. Always verify school catchment zones directly with the relevant education department and school. Enrolment is not guaranteed by living in a catchment zone.

6. Business Directory Listings

To advertise in our business directory you must hold a valid ABN or ACN; be a legitimate, operating business; comply with all applicable business and advertising laws; provide accurate business information; and hold necessary licenses and registrations.

Listings must accurately describe your services, include current contact information, use your own business name and logo, comply with Australian Consumer Law, and not contain misleading or deceptive claims.

Free listings provide basic directory presence. Premium subscriptions unlock enhanced visibility and features, require monthly or annual payment, are subject to a separate subscription agreement, and auto-renew unless cancelled.

When you receive inquiries through our platform you must respond promptly and professionally, comply with privacy laws, and honour representations made in your listing.

7. Payment Terms (Advertiser Subscriptions)

Pricing for subscriptions, listings, promotions and add-ons is as displayed on our website and/or at checkout, or in the applicable Listing Agreement. Pricing is subject to change with 30 days notice. All fees are in Australian Dollars (AUD). Prices are displayed exclusive of GST unless otherwise stated, and GST will be added at checkout where applicable.

Unless we expressly state otherwise at checkout, standard payment processing fees are included in the advertised price. Payments are processed via Stripe (PCI-DSS Level 1 certified). We do not store complete credit card numbers.

Subscriptions auto-renew unless cancelled. You may cancel any time before the next billing date; cancellation takes effect at the end of the current billing period. No refunds for voluntary cancellations. Refunds for technical issues preventing service access are pro-rata and processed within 14 business days.

If payment fails we will attempt to process payment multiple times, your account may be suspended after 7 days and your listing may be removed after 14 days.

8. Intellectual Property Rights

All content and materials on our platforms are owned by HALP or licensed to us, including logos and trademarks ("HALP", "House And Land Packages", "Boutique Developments"), website design, software, code, text, graphics, images, videos and databases.

We grant you a limited, non-exclusive, non-transferable, revocable license to access our platforms for personal, non-commercial purposes. You may not reproduce, distribute or publicly display our content without permission; modify, adapt or create derivative works; or use our content for commercial purposes.

When you submit content you retain ownership but grant us a worldwide, royalty-free license to use, reproduce, modify and display it. If you believe content infringes your copyright, contact legal@halp.com.au.

9. Disclaimers and Limitations

HALP does not provide financial, mortgage or investment advice. Our calculators and tools provide estimates only. Always consult a qualified solicitor or conveyancer for legal matters, a licensed tax professional for tax implications and a licensed financial advisor for investment decisions.

We are not licensed real estate agents. We do not provide property valuations, buying or selling advice, represent parties in transactions or guarantee investment returns.

While we strive for accuracy, information may contain errors or omissions and market data is for reference only. We are not liable for decisions based on our information.

We do not guarantee continuous uninterrupted access, error-free operation, availability of specific features or compatibility with all devices. Our platform relies on third-party services including AWS and Stripe.

10. Limitation of Liability

To the maximum extent permitted by law, HALP and its directors, officers, employees and agents are not liable for direct, indirect, consequential, incidental, special or punitive damages, or any damage arising from your use or inability to use our services, errors or omissions, third-party conduct, unauthorized account access, service interruptions or property transactions you enter into.

Where liability cannot be excluded by law, our total liability is limited to $100 AUD for free services, or for paid services the amount you paid us in the 12 months prior to the claim or $1,000 AUD, whichever is less.

Nothing in these Terms excludes, restricts or modifies any consumer guarantees under the Australian Consumer Law.

You agree to indemnify HALP from any claims, damages, losses, liabilities and expenses arising from your breach of these Terms, your violation of any law or third-party rights, your use of our services, content you submit or your interactions with other users or third parties.

11. Dispute Resolution

Before initiating legal proceedings you agree to contact legal@halp.com.au with details, allow us 30 days to investigate, and engage in good faith discussions.

These Terms are governed by the laws of New South Wales, Australia. You submit to the exclusive jurisdiction of the courts of New South Wales.

For disputes not resolved informally, either party may request arbitration under the Australian Dispute Resolution Association (ADRA) rules by a single arbitrator, in Sydney NSW. To the extent permitted by law, disputes will be resolved individually and you waive the right to participate in class actions.

Nothing prevents either party from seeking injunctive or equitable relief in court for intellectual property infringement, breach of confidentiality, violation of prohibited activities or irreparable harm.

12. General Provisions

These Terms, together with our Privacy Policy, constitute the entire agreement between you and HALP. If any provision is invalid or unenforceable it will be limited or eliminated to the minimum extent necessary and the remaining provisions continue in full force.

Our failure to enforce any provision does not waive our right to enforce that or any other provision in the future. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition or sale of assets.

We may provide notices by email, posting on our website or in-app notifications. Legal notices to us must be sent to House And Land Packages Pty Ltd, 235 Glen Huntly Road, Elsternwick VIC 3185, or legal@halp.com.au.

13. Special Terms for Specific Services

Mortgage calculators provide estimates only, not pre-approvals; use average interest rates and standard assumptions; and should not replace professional financial advice.

School zone information is aggregated from public government databases, provided "as is" without warranty of accuracy and subject to change without notice. Always verify with the relevant state education department, the specific school and local council planning departments.

By subscribing to property alerts you consent to receive emails and SMS. When we connect you with mortgage brokers we may receive a referral fee or commission; brokers are independent third parties; we do not guarantee loan approval; and you are free to use any broker or lender.

Q: Can I get a refund if I cancel?

You may cancel any time before your next billing date, taking effect at the end of the current billing period. No refunds for voluntary cancellations. Pro-rata refunds apply for technical issues preventing service access.

Q: What is HALP's liability if something goes wrong?

Liability is excluded to the maximum extent permitted by law. Where liability cannot be excluded it is capped at $100 AUD for free services, or for paid services the lesser of $1,000 AUD or the amount you paid in the prior 12 months.
